BYLAWS OF THE

UNITARIAN SUNDAY SCHOOL SOCIETY

ARTICLE I - Name, Purpose, Seal

 

Section 1

 

The name of this Society shall be the Unitarian Sunday School Society. The purpose shall be to promote moral and religious education in the Sunday schools.

 

 

Section 2

 

The corporate seal shall be circular in form and shall bear the inscription: "Unitarian Sunday School Society. Organized 1827. Incorporated 1885."

 

ARTICLE II - Membership

 

Section 1.

 

DELEGATE MEMBERS. Any Unitarian parish or Church School connected therewith, or any other church or fellowship with membership in the Unitarian Universalist Association shall be entitled to be represented by up to three persons, who shall be designated Delegate Members, to be members of the Society for one year. Designated members may be:

 

(a) appointed by the Board/Standing Committee or RF, Committee of

their congregation;

 

(b) those persons who choose to come to the USSS Annual Meeting and who sign a delegate form; if there are more than three (3) persons from any one congregation in attendance, that group will then determine the three designated Delegate Members who may then vote.

 

Section 2.

 

LIFE MEMBERS. Life Members designated by Bylaw provisions prior to amendment in 1974 (old Article U, Section 1, and 2, as revised May, 1963) shall be equivalent to Delegate Members.


Section 3.

 

Delegate Members as designated in Sections I and 2 of this Article and persons hereinafter referred to in these Bylaws as "Delegate Members" or "members in good standing of a church or fellowship with membership in the Unitarian Universalist Association," must be able, upon request by the Unitarian Sunday School Society, to furnish certification of membership by the clerk or principal officer of their local churches or fellowships.

 

Section 4.

 

VOTING PRIVILEGE. All members constituted as above shall be entitled to vote and act at all meetings of the Society.

 

 

ARTICLE III – Officers

 

Section 1.

 

The Board of Directors shall consist of a president, a clerk, a treasurer, and four other directors.

 

Section 2.

 

(a) The officers and directors shall be elected at the Annual Meeting of the Society by ballot.

 

(b) The officers and directors shall be members in good standing of a church or fellowship with membership in the UUA.

 

(c) No member of the Board of Directors shall serve more than four consecutive years nor begin a new term on the Board of Directors less than two calendar years after his/her last year of membership on the Board of Directors.

 

Section 3.

 

Any vacancy occurring in the above-mentioned offices shall be filled by the Board of Directors, and the person or persons so elected shall serve until the next Annual Meeting of the Society.

 

ARTICLE IV - Duties of Officers

 

Section 1.

 

The president and clerk and treasurer shall perform the duties usually performed by such officers, except, as such may be fixed by vote of the Society or of the Board of Directors

 

Section 2.

 

The Board of Directors may appoint or employ such other officers or agents as it may deem necessary; shall have, subject to the direction of the Society, the entire management and control of the funds and business of the Society, and shall make a detailed report of its doings to the Annual Meeting.

 

Section 3.

 

The Board of Directors shall meet at least three times per year and three members shall constitute a quorum.

 

Section 4

 

The treasurer shall make a full annual report, in such form as the Board of Directors may require, and submit the same to the Board two weeks, at least, prior to the Annual Meeting. The Board of Directors shall cause said records of the treasurer to be audited every two years beginning in 1996. A report of the audit will be made available to the Annual Meeting.

 

ARTICLE V - Meetings of the Society

 

Section 1.

 

The Annual Meeting of the Society shall be held in May or June, at a time and place to be determined by the Board of Directors.

 

Section 2.

 

Special meetings may be called by the Board whenever it shall deem it necessary or expedient, or upon the written request of twenty members of the Society as defined in Article R, Section 1.

 

Section 3.

 

Notice of the Annual Meeting will be sent to the District Executives, Program Consultants, and District Administrators to announce in the UUA District Newsletters, and announced on the electronic REACH and LREDA lists.

 

ARTICLE VI - Nominating Committee

 

Section 1.

 

A Nominating Committee of two persons, who shall be members of the Society, shall be chosen in such manner as the Board may determine, to prepare and submit at the next Annual Meeting a list of candidates for the offices to be filled at such meeting. Said committee may at its discretion include in such list more than one candidate for any office or offices. Any vacancy in said committee shall be filled by the Board of Directors.

 

Section 2.

 

No failure to comply with any provision of this article shall invalidate an election of officers which has otherwise been conducted in conformity with the provision of these Bylaws.

 

ARTICLE VII – Amendments

 

These Bylaws may be added to, amended, or in whole or in part repealed, at any Annual Meeting of the Society by a majority of the members present and voting; such addition, amendment, or repeal having been proposed at a previous meeting, and notice thereof having been given in the call for the meeting at which it is to be acted upon.
